1. Definitions

Headway Tyres UK Ltd – Terms & Conditions of Sale

Sales of Tyres via Pallet Courier Service

• “Seller” refers to Headway Tyres UK Ltd.
• “Buyer” refers to the party who places an order for tyres with Headway Tyres UK Ltd and whose order is accepted by the Seller.
• “Goods” refers exclusively to tyres supplied by the Seller and delivered solely via pallet courier service.
• “Contract” means the legally binding agreement between the Seller and the Buyer for the purchase and sale of Goods, as governed by these Terms and Conditions.
• “Conditions” means the standard terms and conditions set forth herein, including any written amendments or special terms mutually agreed in writing by authorised representatives of both parties.
• “Pallet Courier Service” means the method by which all Goods are transported: delivery of tyres on pallets using a third-party palletised courier, as designated by the Seller.

2. Scope of Sale

• 2.1 All tyres offered by Headway Tyres UK Ltd are sold exclusively in bulk on pallets and delivered solely through our designated pallet courier service. No other method of sale or delivery is available.
• 2.2 Submission and acceptance of an order, whether initiated by a quotation from the Seller or a written purchase order from the Buyer, constitutes agreement to these Conditions. Any alternative terms proposed by the Buyer are hereby excluded unless expressly agreed in writing by both parties.
• 2.3 Any amendments or variations to these Conditions must be agreed in writing and signed by authorised representatives of both the Seller and the Buyer. Verbal agreements or assurances are not binding unless confirmed in writing by the Seller.

3. Representations and Documentation

• 3.1 The Buyer acknowledges that all information, imagery, and descriptions of the Goods as provided by the Seller are for general guidance only. Specifications, measurements, and other details are subject to standard industry tolerances unless otherwise stated in writing.
• 3.2 Clerical, typographical, or calculation errors in documentation issued by the Seller, including but not limited to quotations, order confirmations, invoices, and despatch notes, may be corrected at any time without incurring liability to the Seller.

4. Orders and Acceptance

• 4.1 All orders must be submitted in writing and are subject to acceptance by the Seller. The Seller reserves the right to reject orders at its sole discretion.
• 4.2 The Contract is formed only when the Seller issues a written confirmation of the Buyer’s order or commences delivery of the Goods.

5. Delivery

• 5.1 All deliveries will be made via pallet courier service to the address specified by the Buyer at the time of order. The Seller will notify the Buyer of the estimated delivery date following despatch.
• 5.2 Risk in the Goods passes to the Buyer upon delivery to the agreed address. Title to the Goods remains with the Seller until payment is received in full.
• 5.3 Delivery dates are estimates only. The Seller will not be liable for any loss or damage arising from delay in delivery beyond its reasonable control.

6. Prices & Payment

• 6.1 All prices quoted are exclusive of VAT unless otherwise stated and are valid for the period specified in the quotation or until withdrawn by the Seller.
• 6.2 Payment terms will be specified in the Seller’s invoice. Failure to pay by the due date may result in suspension of further deliveries and/or legal recovery action.

7. Liability & Warranties

• 7.1 The Seller warrants that all Goods supplied will conform to the specification agreed at the time of order and shall be free from material defects at the time of delivery.
• 7.2 The Seller’s liability for any claim relating to the Goods is limited to the value of the Goods supplied. Headway Tyres UK Ltd is not liable for consequential or indirect losses, including but not limited to loss of profits or business interruption.

8. Returns & Cancellations

• 8.1 Returns will only be accepted with prior written consent from the Seller. Returned Goods must be undamaged, unused, and in original packaging. The Buyer is responsible for return shipping costs.
• 8.2 Cancellation of orders after despatch may incur charges if the Seller has incurred costs related to fulfilment of the order.

9. General

• 9.1 These Terms & Conditions are governed by the laws of England and Wales.
• 9.2 If any provision of these Conditions is deemed unenforceable by a court of competent jurisdiction, such provision shall be severed and the remainder shall continue in effect.
• 9.3 The headings herein are for convenience only and do not affect the interpretation of these Conditions.
